These Terms & Conditions (the "Terms") govern your access to and use of the diversiahealth.com website, the clientportal.diversiahealth.com participant portal, our mobile applications, and our clinical-trial recruitment services (together, the "Services"), operated by Diversia Health, Inc. ("Diversia Health," "we," "our," or "us").
By creating an account, submitting a form, or otherwise using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. What Diversia Health is β and is not
Diversia Health connects individuals with clinical trials and research studies conducted by third-party sponsors, clinical-research organizations, hospitals, and physicians ("Research Partners"). We help you find studies you may qualify for and pass your information to the Research Partner running the study.
Diversia Health is not a healthcare provider. We do not practice medicine, diagnose conditions, prescribe treatment, or provide medical advice. Nothing in the Services is a substitute for the judgment of your physician. Never disregard or delay seeking medical advice because of something you read or receive through the Services. If you believe you have a medical emergency, call 911 or your local emergency number.
We do not conduct the studies themselves. The Research Partner running a study is responsible for that study, its protocol, its informed-consent process, and the care you receive in it.
2. No guarantee of enrollment
Registering with Diversia Health does not enroll you in any study. Eligibility is determined by the Research Partner according to that study's protocol, and most people who apply to a given study will not qualify. We make no promise that you will be contacted, screened, accepted, or compensated.
3. Eligibility and accounts
You must be 18 years of age or older to create an account. A parent or legal guardian may create an account and provide information on behalf of a minor for studies that enroll minors; by doing so, that adult confirms they have the legal authority to act for that child.
You agree to provide accurate, current, and complete information, and to keep it up to date. Health and eligibility information you give us is used to match you with studies, so inaccurate information may cause you to be matched with a study you do not qualify for, or to be missed for one you do.
You are responsible for keeping your password confidential and for activity that occurs under your account. Tell us promptly at info@diversiahealth.com if you believe your account has been used without your authorization.
4. Communications from us
When you register, we may contact you by email, telephone, and β if you have separately opted in β by SMS text message, about studies you may qualify for, appointments, and your account.
SMS messaging is governed by our SMS Program Terms. Consent to receive SMS is optional and is never a condition of registering, of being considered for a study, or of receiving any other service from us. You may stop SMS at any time by replying STOP, and you may unsubscribe from marketing email using the link in any such email. We will still send you transactional messages about an account or an appointment you have with us.
5. Privacy
Our Privacy Policy explains what information we collect, how we use it, and with whom we share it, and is incorporated into these Terms. Mobile information and messaging consent are not shared with third parties or affiliates for marketing or promotional purposes.
6. Acceptable use
You agree not to: use the Services for any unlawful purpose; register on behalf of another adult without their authorization; submit false or misleading health or identity information; attempt to gain unauthorized access to any part of the Services or to another person's account; interfere with or disrupt the Services; scrape, harvest, or copy content or data from the Services by automated means; or use the Services to send unsolicited communications.
7. Intellectual property
The Services, and the text, graphics, software, and other content we make available through them, are owned by Diversia Health or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You may not copy, modify, distribute, sell, or create derivative works from them without our written permission.
Content you submit remains yours. By submitting it, you grant us the licence needed to operate the Services β including to share it with the Research Partners running the studies you ask to be considered for.
8. Third-party sites and partners
The Services may link to, or hand you off to, websites and services operated by others, including Research Partners. We do not control those sites and are not responsible for their content, their practices, or the care they provide. Their own terms and privacy policies apply once you are with them.
9. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any information provided through them is complete or accurate.
10. Limitation of liability
To the fullest extent permitted by law, Diversia Health and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the Services. To the fullest extent permitted by law, our total liability for any claim relating to the Services will not exceed one hundred U.S. dollars (US$100).
Nothing in these Terms limits any liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Diversia Health from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or of the rights of a third party.
12. Termination
You may close your account at any time by writing to info@diversiahealth.com. We may suspend or terminate access to the Services if you breach these Terms or if we are required to do so by law. Sections that by their nature should survive termination β including sections 7, 9, 10, 11, and 13 β will survive.
13. Governing law
These Terms are governed by the laws of the Commonwealth of Puerto Rico and the applicable federal laws of the United States, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in San Juan, Puerto Rico.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated through the Services or by email. Continuing to use the Services after a change means you accept the revised Terms.
